1. Acceptance of Terms

By accessing or using the website (https://www.revgate.app), our APIs, or the Drop-in Wallet SDK (the "Services"), you agree to be bound by these Terms & Conditions. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entities to these terms.

2. Description of Service

RevGate provides an infrastructure-agnostic AI gateway and financial settlement layer. Our Services include the "Truth Engine," which evaluates, verifies, and settles transactions generated by asynchronous AI agents based on predetermined outcome success criteria.

3. Account Registration & Security

You must provide accurate, complete, and current information when registering for an account. You are responsible for safeguarding the password and API keys that you use to access the Services and for any activities or actions under your credentials. RevGate cannot and will not be liable for any loss or damage arising from your failure to secure your API keys.

4. Fees, Escrow, and Financial Settlement

  • Pricing: Use of the Services is subject to the payment of fees, which may include SaaS subscription tiers and/or transactional take-rates based on verified volume, as detailed on our pricing page or in your specific Founding Partner/Enterprise agreement.
  • Outcome-Based Verification: RevGate acts as a verification layer. While we utilize our Truth Engine to hold transactions in a temporary digital escrow and issue a "Receipt of Reasoning," RevGate is a software provider, not a bank. Final fiat settlement is executed via integrated downstream payment processors.
  • Disputes: Any disputes regarding verified outcomes or escrow settlement must be raised within 24 hours of the transaction.

5. Intellectual Property

  • RevGate's IP: We retain all rights, title, and interest in and to the Services, including the Truth Engine algorithms, Drop-in Wallet SDK, API architecture, and all related documentation.
  • Your IP: You retain all rights to your proprietary software, multi-agent workflows, and customer data connected to our API.

6. Prohibited Conduct

You agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of the Truth Engine or SDK.
  • Use the Services to process transactions for illegal activities, malicious AI deployments, or fraudulent schemes.
  • Interfere with or disrupt the integrity or performance of the Services.

7. Warranties and Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REVGATE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE TRUTH ENGINE WILL BE ERROR-FREE OR THAT EVERY AI HALLUCINATION WILL BE CAUGHT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REVGATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO REVGATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless RevGate, its founders, and employees from any claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your AI agents causing harm to third parties.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Bangalore, Karnataka, India.

11. Modifications

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes through the Services or via email prior to the change becoming effective.
